Affiliate Program Terms

These terms govern your participation in the Agency Pilot Affiliate Program, run by Devtech, LLC, an Ohio limited liability company doing business as Agency Pilot("we", "us"). By applying to the program, or by using an affiliate link or the affiliate dashboard, you agree to them. They sit alongside our Terms of Service, which also apply to you. If the two conflict on a point about the program, these terms control. A plain-language overview is on the Affiliate Program page.

1. Definitions

• Affiliate means a person or business whose application to the program we have approved.
• Referral link means the personal link or code we give you to identify visitors you send to Agency Pilot.
• Referred customer means an agency account that signs up through your referral link and is attributed to you under section 3.
• Base subscription means the recurring subscription fee for a referred customer's Agency Pilot plan, including the additional client blocks that are part of the Agency plan's price, and nothing else.
• Net base revenue means the part of a base subscription payment that we actually collect from the referred customer, after any discount, credit or partial payment, and excluding taxes.
• Commission means the amount we owe you under section 4.
• Month means a calendar month, measured in Eastern time.

2. Eligibility and approval

You must be at least 18 years old, able to enter a binding contract, and able to receive payments from us under the laws that apply to you. You may be an Agency Pilot customer or not. Applications are reviewed individually. We may approve or decline any application, and we do not have to give a reason. Your link becomes active only once we have approved you. You may hold only one affiliate account unless we agree otherwise in writing.

3. Referral links and tracking

1. Attribution window. When a visitor clicks your referral link, we record the click and remember it for 90 days.
2. Last click. If the same visitor later clicks another affiliate's link within those 90 days, the most recent valid click is the one that counts, and its 90 days start from that click.
3. Permanent assignment. A referred customer is permanently assigned to the affiliate whose click was the most recent valid one inside its 90-day window at the time of the customer's first paid base subscription payment, made after any free trial. The assignment does not change after that, whatever happens later, including any later click on another affiliate's link.
4. Reactivation. If a referred customer cancels and later reactivates, the account stays assigned to the original affiliate.
5. Our records decide. Attribution is determined from our own records. Clicks that are invalid, automated, duplicated or suspected of fraud are not counted. We may hold a referral for review before it earns or is approved for commission.

4. Commission

1. Rate. Unless we tell you a different rate in writing, your commission is 25% of net base revenue.
2. Recurring. Commission is earned on each base subscription payment from a referred customer for as long as that customer's account stays active and keeps paying. On annual plans, commission is 25% of the net base revenue of the annual payment, recorded when that payment is collected.
3. Base subscription only. Commission is calculated on the base subscription and on nothing else.
4. After discounts. Commission follows what we actually collect. A discount reduces the base and so reduces the commission. For example, a base subscription of $100 with a $20 discount means $80 is collected, and the commission is 25% of $80, which is $20. Discounts we offer to customers, including launch and founding-agency offers, apply in the same way.
5. Part payments. If only part of an invoice is collected, for example because a customer balance or credit was applied, commission follows the part of the base subscription that was collected. If nothing is collected, no commission is earned.
6. Rounding. Commission is calculated in cents and rounded to the nearest cent, with half a cent rounded up.

5. What earns no commission

No commission is payable on any of the following:

• add-ons, additional seats and optional paid features, including click-fraud protection and session recording add-ons;
• credit packs, top-ups and usage charges;
• upsells, upgrades of anything other than the base subscription, and setup, onboarding or other one-time fees;
• services we or anyone else provide to the customer;
• sales tax, VAT or any other tax, and any transaction or payment fees;
• payments on complimentary, free, internal, test or otherwise non-paying accounts; and
• accounts that we have blocked as self-referrals or fraudulent.

6. Refunds, chargebacks and reversals

Commission is earned only on revenue that we keep. We will reverse commission on any base subscription payment that is refunded, charged back, disputed and lost, reversed or otherwise failed, and on any payment connected with fraud or a complimentary account. If the commission has already been recorded or paid, the amount will be deducted from your unpaid balance, or, if that is not enough, from your future commissions. If you have no future commissions to deduct from, you agree to repay us what remains within 30 days of our request. If a dispute is decided in our favour after we reversed the commission, we will reinstate it.

7. Commission statuses

Each commission has one of these statuses, shown in your affiliate dashboard.

When a month closes, its pending commissions become approved, unless the referral is under review. Commission does not build up while your affiliate account is suspended.

8. Payment

Approved commission is paid on the 15th day of each month for the previous calendar month, measured in Eastern time. We pay only the approved balance that is not already paid, after deductions under section 6. We may hold a payout while a referral is under review, and we may carry a balance forward to the next payout.

9. Payout method and taxes

We will agree with you how you are paid, and you must give us accurate payment details when we ask. You are responsible for every tax on the commission you receive, and for any tax forms or registrations the law requires of you. We may withhold tax, or delay payment until we have the information we need, where the law requires. Any bank or transfer fees charged to you by your own bank are yours to bear.

10. Prohibited conduct

You must not:

• refer yourself, or an account you own, control, or have a financial interest in, or create accounts to earn commission on your own use;
• send spam, or promote by unsolicited email, text messages, calls or direct messages, or in breach of any law or of the rules of a platform you use;
• make false or misleading claims about Agency Pilot, its price, its features, its results, or the program, including any claim about what a customer or affiliate will earn;
• bid on, or buy advertising against, the terms "Agency Pilot" or "AgencyPilot", our other trademarks, or close misspellings of them, or register domains or social accounts that imitate ours;
• offer incentives, payments, gifts or rebates in exchange for sign-ups, or submit fake, automated, purchased or incentivised sign-ups or clicks;
• use cookie stuffing, forced clicks, hidden or misleading redirects, or any technique that credits you with a click the visitor did not knowingly make;
• present yourself as Agency Pilot, or as speaking for us; or
• interfere with tracking, or try to see or use another affiliate's or customer's information.

Where the law or a platform requires you to disclose that you are an affiliate and may be paid for referrals, you must make that disclosure clearly.

11. Suspension and termination

We may suspend your affiliate account, stop new commission from accruing, withhold payment, or terminate your participation at any time if we reasonably believe you have breached these terms or our Acceptable Use Policy, or if we end or change the program. We may reverse any commission earned through conduct that breaches these terms. You may end your participation at any time by writing to us. When participation ends, we will pay approved commission that is owed to you, less deductions under section 6, and no further commission is earned on payments collected after the end date unless we tell you otherwise in writing. You must stop using your referral link and any of our brand materials.

12. Independent contractor

You are an independent contractor. Nothing in the program makes you our employee, partner, agent, franchisee or joint venturer, and you have no authority to bind us or to make promises on our behalf. You decide how you promote Agency Pilot, at your own cost, subject to these terms. We do not promise that you will earn any amount of commission, or any commission at all.

13. Changes to these terms

We may change these terms, the commission rate, the attribution window, the payout date or the program itself. We will post the updated terms on this page and update the date at the top, and we will notify you by email or in your dashboard of any material change. A change applies to commission on payments collected after it takes effect. If you keep promoting Agency Pilot or using your affiliate account after a change, you accept it. If you do not accept it, you can end your participation.

14. Limitation of liability

To the fullest extent permitted by law, we will not be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business or goodwill, in connection with the program. The limits in section 25 of the Terms of Service also apply.

You are responsible for your own promotion and for its compliance with the law, and you will indemnify Devtech, LLC against claims arising from it, as section 26 of the Terms of Service describes.

15. Governing law and disputes

These terms are governed by the laws of the State of Ohio, United States, and applicable federal law, without regard to conflict-of-law rules. Any dispute about these terms or the program is resolved as set out in section 27 of the Terms of Service, which applies to these terms in the same way.
